These Terms of Service and Acceptable Use Policy (the “Terms”) govern the access to and use of the IR Suite software platform and related services (the “Services”) provided by IR Suite AG, a Swiss stock corporation (Aktiengesellschaft) organized under the laws of Switzerland (“IR Suite,” “we,” “us,” or “our”).
By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not use the Services.
1.1 Business Use Only
The Services are offered exclusively to businesses, legal entities, and professional users. The Services are not intended for consumers within the meaning of applicable consumer protection laws.
1.2 Authority
You represent and warrant that you have the authority to enter into these Terms on behalf of the company or entity you represent (“Customer”).
“Account” means the Customer’s account enabling access to the Services.
“Customer Data” means all data, content, and information submitted to or processed through the Services by or on behalf of the Customer.
“User” means an individual authorized by the Customer to access the Services.
“Subscription” means the paid plan selected by the Customer.
3.1 Service Description
IR Suite provides a cloud-based SaaS platform designed to support investor relations, investor marketing, data intelligence, signal tracking, communication, and related workflows.
3.2 Service Modifications
IR Suite may update, modify, or enhance the Services from time to time, including adding or removing features, provided that such changes do not materially reduce the core functionality of an active Subscription.
3.3 No Guaranteed Results
IR Suite does not guarantee any specific commercial, financial, investor, or market outcome as a result of using the Services.
4.1 Account Responsibility
The Customer is responsible for all activities occurring under its Account and for ensuring that Users comply with these Terms.
4.2 Credentials
Login credentials must be kept confidential. Any unauthorized access must be reported immediately.
4.3 User Management
The Customer is responsible for managing User access and permissions.
5.1 Fees
Fees are charged according to the selected Subscription and billing cycle.
5.2 Payment Processing
Payments are processed via third-party payment providers, including Stripe. IR Suite does not store payment card data.
5.3 Currencies and Taxes
Subscriptions may be billed in USD, CHF, EUR, GBP, or CAD. Prices exclude applicable taxes unless stated otherwise.
5.4 Non-Payment
IR Suite may suspend or terminate access to the Services in case of overdue payments.
6.1 Ownership
Customer Data remains the exclusive property of the Customer.
6.2 Data Processing
IR Suite processes Customer Data in accordance with its Privacy Policy and applicable data protection laws, including the Swiss Federal Act on Data Protection (revDSG) and the GDPR where applicable.
6.3 Hosting
Customer Data is hosted on infrastructure located in Switzerland (Zurich) and Germany (Frankfurt).
6.4 Data Processing Agreement
Where required, the parties shall enter into a Data Processing Agreement (DPA) pursuant to Article 28 GDPR.
The Customer and its Users must not use the Services to:
a) violate any applicable law, regulation, or stock-exchange rule;
b) distribute unlawful, misleading, deceptive, defamatory, or fraudulent content;
c) engage in market manipulation, misleading investor communication, or unlawful disclosure practices;
d) send spam or unsolicited messages, or abuse messaging channels (including WhatsApp, Messenger, Telegram, or email);
e) upload malicious code, attempt unauthorized access, or disrupt the integrity of the Services;
f) scrape, harvest, reverse engineer, or circumvent technical safeguards;
g) misrepresent affiliation, identity, or authority;
h) use the Services in violation of third-party platform terms.
IR Suite may suspend or terminate access immediately in case of violations.
The Services may integrate or rely on third-party platforms and services. IR Suite is not responsible for third-party services, outages, policy changes, or data processing practices outside its control.
9.1 IR Suite IP
All intellectual property rights in the Services remain with IR Suite.
9.2 License
IR Suite grants the Customer a limited, non-exclusive, non-transferable license to use the Services during the Subscription term.
9.3 Feedback
Any feedback provided may be used by IR Suite without restriction or compensation.
The Services do not constitute investment advice, financial advice, legal advice, or a solicitation to buy or sell securities.
IR Suite does not verify the accuracy, completeness, or regulatory compliance of Customer content. The Customer remains solely responsible for compliance with securities laws, disclosure obligations, and investor communications.
To the maximum extent permitted by law:
a) IR Suite shall not be liable for indirect, incidental, consequential, or punitive damages;
b) IR Suite’s total aggregate liability shall not exceed the fees paid by the Customer in the 12 months preceding the claim.
Nothing in these Terms limits liability for intent or gross negligence where prohibited by law.
The Customer shall indemnify and hold harmless IR Suite from claims arising out of:
Customer Data;
misuse of the Services;
violation of laws, regulations, or third-party rights.
13.1 Term
These Terms apply for the duration of the Subscription.
13.2 Termination by Customer
The Customer may terminate according to the Subscription terms.
13.3 Termination by IR Suite
IR Suite may terminate immediately in case of material breach.
13.4 Effect of Termination
Access to the Services will cease. Customer Data will be handled in accordance with the Privacy Policy.
Each party shall keep confidential information disclosed under these Terms confidential, unless disclosure is required by law.
IR Suite may update these Terms from time to time. Continued use of the Services constitutes acceptance of the updated Terms.
These Terms are governed by Swiss law, excluding conflict-of-law rules.
Exclusive place of jurisdiction is Zurich, Switzerland.
